At a high level, ProNova Partners provides pricing, marketing, negotiation, and closing coordination services in order to sell and transition your business to a new owner. For these services, ProNova will be paid a success fee in an amount based on the total consideration paid for the purchase of the business or assets.

Flexible Approach

Agency

If you hire us as your broker, we will represent you as a seller’s agent. A seller’s agent (or listing agent) works solely on your behalf  to promote your interests with the utmost good faith, loyalty and fidelity. The sellers agent negotiates on behalf of and acts as an advocate for the seller. The seller’s agent must disclose to potential buyers all adverse material facts actually known by the seller’s agent about the property. A separate written listing agreement is required which sets forth the duties and obligations of the broker and the seller.

Scope of Work

Our usual brokerage assignment will consist of five phases: information gathering, pricing, marketing, negotiation, and closing. During each of these phases a number of tasks will be completed by us.  An owners timely response to our requests for information, meetings, and attention is essential for the successful conclusion of the engagement.

Closing the Transaction

We act as the interface between you and your attorney, account, or other advisor and the buyers advisors. Our virtual data room will be used as a repository for all necessary documents during the due diligence phase. We will gather all requests for documentation requested by the buyers attorney or the bank and assist you in organizing and transmitting them to the appropriate party. We will track the progress of the due diligence and closing process to make sure all of the details ate accounted for.

After the closing, we follow-up with you, the buyer, and the closing attorney to make sure the transaction is properly concluded and the transition happens in a timely manner.
